With a practice of over two and a half decades, Ruoh Jin’s areas of practice include advising listed and unlisted companies on mergers and acquisitions, joint ventures, share placements, as well as advising listed companies in relation to corporate actions, legal and regulatory compliance, annual general meetings, announcement requirements and the requirements to obtain shareholders’ approvals. She has handled transactions involving target companies and assets in various business areas, including residential and commercial property, a tourist attraction and retail businesses.

Case Highlights

• Advised a Singapore listed company in relation to their acquisition of all of the shares of a Singapore company, whereby the target group was in the business of retailing and distributing luxury watches and had shops in Singapore, Malaysia and Thailand. The process of the acquisition required convening an extraordinary general meeting and obtaining the purchaser’s shareholders’ approval for the proposed acquisition.

• Advised a hospital in Singapore on their acquisition of assets which included a facility for the manufacture of autologous and allogeneic cell therapy products.

• Advised a minority shareholder in relation to a joint venture agreement for a Singapore company which would acquire an operating company which owned a hotel located in the central business district of Singapore.

• Advised a Singapore listed company in relation to their acquisition of the Singapore Flyer, a tourist attraction in Singapore.

• Advised purchasers in relation to their acquisition of all of the shares of companies that own property in Singapore
