Kenny GOH

Kenny Goh is a Partner in the Corporate Department of Lee & Lee. He graduated from the National University of Singapore in 2010 and was called to the Singapore bar as an advocate and solicitor in 2011. He joined Lee & Lee as an Associate in 2012 and was made a Partner in 2017. His key area of practice includes advising on public and private mergers and acquisitions. Notable recent mergers and acquisition transactions which he was involved in include:

  • Acted for Sky One Holdings Limited (now trading as Resources Prima Group Limited), a company listed on the Catalist of the Singapore Exchange Securities Trading Limited, in relation to a reverse takeover exercise for the acquisition of the entire issued share capital of Energy Prima Pte. Ltd.
  • Acted for the target company in relation to the reverse takeover exercise by Hisaka Holdings Ltd., a Mainboard listed company on the Singapore Exchange Securities Trading Limited, for the acquisition of the entire issued share capital of Regal International Holdings Pte. Ltd.
  • Acted for Novoflex Pte. Ltd. in the acquisition of Smartflex Technology Pte. Ltd. and Smartflex Innovation Pte. Ltd. from Smartflex Holdings Ltd., a company listed on the Catalist of the Singapore Exchange Securities Trading Limited
  • In partnership with Heidricks & Struggles, executed the independent Corporate Governance Review of Singapore Post Limited for compliance with the Singapore Code of Corporate Governance, the Companies Act and the Listing Rules of the Singapore Exchange Securities Trading Limited

In addition, he also advises on (i) private equity issues, corporate restructuring, shareholders’-related issues and joint ventures; (ii) standard debt transactions, including debt restructuring, loan agreements, guarantees and standard security documents; (iii) equity capital market transactions; (iv) general regulatory issues under the Securities and Futures Act and the rules of the Singapore Exchange Securities Trading Limited; (v) general issues under the Singapore Code of Corporate Governance; and (vi) other general corporate and commercial matters.
