About Francis

Francis joined Lee & Lee in 2001 as an associate and became a partner in 2007.

Francis practices in the area of corporate secretarial services and assists local and foreign clients with the establishment of business entities in Singapore. Francis also advises on employment matters, the sale and purchase of shares and assets, joint ventures and shareholders’ agreements.

Francis also practices in the area of personal data privacy compliance in the employment context and has conducted various talks and seminars and assisted various clients on compliance issues under the Personal Data Protection Act 2012.

Other areas of Francis’s corporate and commercial practice include goods and/or equipment distributorships, agencies, sale and purchase agreements, service agreements and derivatives transactions.

Case Highlights

  • Advising and acting for numerous company groups in relation to the restructure / amalgamation of their Singapore incorporated subsidiaries, including preparing the documentation and carrying out the filings to effect such amalgamation.·                  

  • Conducting various private and public talks and seminars on the Personal Data Protection Act including a talk for the Singapore Human Resource Institute and an Asian Legal Business Masterclass.

  • Reviewing, drafting and commenting on employment agreements, handbooks, policies and other related employment documentation for numerous employers.

  • Advising on various anti-competition / non-solicitation clauses and/or disputes between employers, prospective employers and employees. 

  • Advising numerous employers in relation to employment termination and/or retrenchment exercises.

  • Advising and assisting numerous clients with transfer of employees and employment passes upon a business sale or business restructure.

  • Advising and acting for numerous clients in respect of general corporate and commercial matters including  the sale and purchase of assets or shares, joint ventures and shareholders’ agreements.

  • Drafting distributorship agreements and advising on distributorships arrangements for various clients.

  • Advising and acting for numerous corporations and financial institutions in negotiating, drafting and preparing documents in formats prescribed by the International Swap Derivatives Association, Inc.
