About Michelle TAN

Michelle is a Partner in the Corporate department.

Michelle graduated from the National University of Singapore in 1997. She was admitted to the Singapore Bar in May 1998 and to the Roll of Solicitors of England & Wales in January 2003. Thereafter, she was also admitted as a Solicitor of the Supreme Court of Gibraltar in June 2003.

Michelle has been in legal practice since 1998 and joined Lee & Lee in 2000. In 2003, she left Singapore and practised as a solicitor in Gibraltar. She returned to Lee & Lee in 2005.

Michelle’s scope of practice includes :

• Advising on debt capital markets transactions. Examples of significant transactions she has been involved in include, acting for the issuer and guarantor in the establishment of a S$1 billion multicurrency medium term note programme, acting for the issuer and guarantor in the issue of S$400 million fixed and floating rate notes listed on the SGX-ST and acting for the trustee of noteholders and the arrangers of a S$150 million multicurrency medium term note programme.
• Advising financial institutions on the securitization of their existing loan facilities.
• Advising on other matters relating to debt securities, including the application for relevant exemptions under the Moneylenders Act (Cap. 188), calling of bondholders’ meetings, early redemption of bonds, release of unclaimed redemption monies, substitution and discharge of security.
• Advising companies listed on the SGX-ST and issuers of debt securities listed on the SGX-ST of their compliance obligations and other regulatory requirements under the Listing Rules of the SGX-ST.
• Advising companies on corporate and commercial matters, including commercial agreements, acquisitions and disposals, incorporation, corporate secretarial and employment matters.
• Advising companies on corporate finance through initial public offering and primary listing, secondary listing and placement, rights issue of warrants and rights shares.

Michelle also has prior experience as a commercial litigation counsel.
